Standard Manufacturing Agreement & Wholesale Policies for B2B Clients

1 General Provisions

These Terms of Service constitute a legally binding agreement between LedFixtureOEM.com, operated by Green Earth LED Manufacturer, and the purchasing entity Client.

By submitting a Purchase Order (PO) or engaging in OEM/ODM services with us, you acknowledge that you are a business entity purchasing for commercial resale, installation, or distribution purposes. We do not sell directly to retail consumers ("B2C").

2 Ordering & Minimum Quantities (MOQ)

All orders must be submitted via a formal Purchase Order (PO) or signed Proforma Invoice (PI). Verbal orders are not accepted to ensure manufacturing accuracy.

Standard MOQs

Standard Products: 100 units per SKU (negotiable for sample orders).
Private Label (OEM): 500 units per SKU for custom laser etching and packaging.
Custom Tooling (ODM): Determined on a case-by-case basis based on engineering requirements.

3 Payment Terms

Unless otherwise agreed in writing, all pricing is quoted in USD (United States Dollars).

Telegraphic Transfer (T/T)

Standard terms are 30% deposit upon order confirmation and 70% balance before shipment (against Bill of Lading copy for established clients).

Letter of Credit (L/C)

Irrevocable L/C at sight is accepted for orders exceeding $50,000 USD, subject to bank approval.

* Production will not commence until the deposit has been cleared in our bank account.

4 OEM & ODM Services

We provide comprehensive white-label and custom manufacturing services.

Intellectual Property: Clients retain full IP rights to any proprietary designs, molds, or tooling paid for exclusively by the Client. We agree to sign a Non-Disclosure Agreement (NDA) upon request.
Tooling Fees: Fees for custom molds or extrusion dies are non-refundable once production has started.
Sample Approval: Mass production begins only after the Client has approved the "Golden Sample" in writing.

5 Shipping & Delivery

Incoterms: Unless otherwise specified, all pricing is FOB Shenzhen or FOB Guangzhou (Free On Board).

Risk of Loss: Risk of loss or damage to goods passes to the Client once the goods have passed the ship's rail at the port of shipment. We highly recommend purchasing marine cargo insurance.

Lead Times: Standard production lead time is 25-35 days after deposit receipt. Custom ODM projects may require 45-60 days.

6 Warranty Policy

Green Earth LED warrants that our products will be free from defects in material and workmanship for the following periods from the date of shipment:

Claims Process

To initiate a warranty claim, the Client must provide a Return Merchandise Authorization (RMA) request including photos/videos of the defect and the Batch Number/Date Code. We will, at our option, repair or replace the defective components.

*Warranty is void if failures are caused by improper installation, voltage surges, or modification of the fixture.

7 Limitation of Liability

In no event shall LedFixtureOEM.com be liable for any indirect, special, incidental, or consequential damages, including but not limited to loss of profits, labor costs for replacement, or business interruption, arising out of the use or inability to use our products.

Our total liability for any claim shall not exceed the purchase price of the specific product giving rise to the claim.

By placing an order with Green Earth LED, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
